{"id":6971,"date":"2015-07-30T07:00:00","date_gmt":"2015-07-30T07:00:00","guid":{"rendered":"http:\/\/joseg128.sg-host.com\/?p=2946"},"modified":"2015-07-30T07:00:00","modified_gmt":"2015-07-30T07:00:00","slug":"mergers-and-acquisitions","status":"publish","type":"post","link":"https:\/\/partners.es\/web2023\/mergers-and-acquisitions\/","title":{"rendered":"Mergers and acquisitions"},"content":{"rendered":"<p><strong>Objective:<\/strong><\/p>\n<p>Finance business projects covering a corporate operation, involving clear competitive advantages (growth in size and improvement of products and services).<\/p>\n<p><strong>Beneficiaries:<\/strong><\/p>\n<p>SMEs with corporate transactions involving competitive advantages.<\/p>\n<p><strong>Requirements:<\/strong><\/p>\n<ul>\n<li>Be SMEs according to the definition of the EU.<\/li>\n<li>Main activity and registered in the national territory.<\/li>\n<li>Innovative\/novel business or with clear competitive advantages.<\/li>\n<li>Not be framed in the real estate and financial sectors.<\/li>\n<li>Cofinancing of the financing needs associated with the business project.<\/li>\n<li>Level of own funds, at a minimum, equal to the amount of the loan requested to Enisa.<\/li>\n<li>Balanced financial structure.<\/li>\n<li>Professionalism in management.<\/li>\n<li>Technical and economic feasibility of the business plan.<\/li>\n<li>Financial statements audited externally of the last closed financial year.<\/li>\n<\/ul>\n<p><strong>Conditions:<\/strong><\/p>\n<ul>\n<li>Participatory loan<\/li>\n<li>Minimum amount: \u20ac300,000<\/li>\n<li>Maximum amount: \u20ac1.500.000<\/li>\n<li>For the determination of the amount will be evaluated, among other factors, the level of own funds and the financial structure of the company.<\/li>\n<li>The interest rate will be applied in two sections:<\/li>\n<\/ul>\n<p>-First stage: Euribor + 3.75% differential.<\/p>\n<p>-Second segment: variable interest depending on the profitability of the company, with a limit<\/p>\n<p>maximum set in accordance with the rating of the operation up to 8.0%.<\/p>\n<ul>\n<li>Commission opening: 0.5%.<\/li>\n<li>Maturity: maximum 9 years.<\/li>\n<li>Lack of the main: maximum 7 years.<\/li>\n<li>Commission early repayment: equivalent to the amount that the redemption amount advance had earned in respect of the second tranche of interest if there were amortized in the terms established initially.<\/li>\n<li>Commission of maturity anticipated by change in shareholding: equivalent to the amount that the balance by main live from the loan, at the time of early maturity, would have earned in concept of second tranche of interest if the loan had been repaid in the terms provided initially.<\/li>\n<li>Quarterly interest and principal repayment.<\/li>\n<li>No warranties<\/li>\n<\/ul>\n<p><strong>Application date:<\/strong> all year round.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Objective: Finance business projects covering a corporate operation, involving clear competitive advantages (growth in size and improvement of products and services).
